Stella Ritter (former GASD Administrator) – spoke regarding the upcoming retirement of Dr. Michele Downing, Assistant Superintendent and Kim Brumley Business Manager and their dedication and accomplishment throughout their years at the GASD.

The meeting adjourned at 7:51 pm and entered into executive session.  Executive session adjourned at 8:40 pm and re-entered regular session.  At 8:42 pm the Board re-entered executive session.  Executive session adjourned at 9:14 pm and reentered regular session.  On the motion of Gavin Murdoch the meeting adjourned at 9:15 pm.

375/2018-19 RESOLVED:  that the Board of Education of the Greater Amsterdam School District hereby approves the memorandum of agreement by and between the District and the Amsterdam Teachers’ Association Chapter of Substitutes, for the term of July 1, 2018 to June 30, 2022, authorizes the Superintendent to execute the agreement and ratifies and approves the payment of money contained therein.

376/2018-19  The following resolution was offered by Kent McHeard and seconded by John Bottisti.

RESOLUTION APPROVING THE TERMS AND CONDITIONS OF A CERTAIN PILOT AGREEMENT TO BE ENTERED INTO BETWEEN MONTGOMERY COUNTY INDUSTRIAL DEVELOPMENT AGENCY AND VALLEY VIEW HOSPITALITY, INC. IN CONNECTION WITH THE VALLEY VIEW HOSPITALITY, INC. PROJECT.

WHEREAS, in November, 2018, Valley View Hospitality, Inc. (the “Company”) submitted an application (the “Application”) to the Agency, a copy of which Application is on file at the office of the Agency, which Application requested that the Agency consider undertaking a project (the “Project”) for the benefit of the Company, said Project consisting of the following: (A) (1) the acquisition of an interest in an approximately 2.4 acre parcel of land located at 1393 NYS Rouse 5S in the City of Amsterdam, Montgomery County, New York (the “Land”), (2) the construction on the Land of an approximately 32,000 square foot motel consisting of sixty-seven (67) rooms (the “Facility”) and (3) the acquisition and installation of certain machinery and equipment therein and thereon (the “Equipment”) (the Land, the Facility and the Equipment hereinafter collectively referred to as the “Project Facility”), all of the foregoing to constitute a motel; (B) the granting of certain “financial assistance” (within the meaning of Section 854(14) of the General Municipal Law of the State of New York) with respect to the foregoing, including potential exemptions from certain sales and use taxes, real property taxes, real estate transfer taxes, and mortgage recording taxes (the “Financial Assistance”); and (C) the lease of the Project Facility to the Company or such other entity or person as may be designated by the Company and agreed upon by the Agency; and

WHEREAS, in connection with the undertaking of the Project, the Company will execute and deliver a certain payment in lieu of tax agreement (the “PILOT Agreement”) by and between the Agency and the Company pursuant to which the Company will agree to pay certain payments in lieu of taxes with respect to the Project Facility; and

WHEREAS, the Agency desires that the School District, as an affected tax jurisdiction under the PILOT Agreement, formally approve the terms and conditions to be formalized in the PILOT Agreement (the “PILOT Request”);

NOW, THEREFORE, BE IT RESOLVED by the Board of Education as follows:

Section 1. The Board of Education hereby approves the PILOT Request, including but not limited to the payment terms to be contained in the PILOT Agreement which are substantially described in Schedule A attached hereto.

Section 2. The President of the Board of Education is hereby authorized, on behalf of the School District, to execute and deliver the PILOT Agreement (or any consent thereto), said PILOT Agreement to contain the payment terms substantially described in Schedule A attached hereto with such changes, variations, omissions and insertions as the President of the Board of Education shall approve, the execution thereof by the President of the Board of Education to constitute conclusive evidence of such approval.

Section 3. The officers, employees and agents of the School District are hereby authorized and directed for and in the name and on behalf of the School District to do all acts and things required or provided for by the applicable provisions of the General Municipal Law of the State of New York in order to ensure compliance with such provisions as they relate to the execution and delivery of the PILOT Agreement, and to execute and deliver all such additional certificates, instruments and documents, and to do all such further acts and things as may be necessary or, in the opinion of the officer, employee or agent acting, desirable and proper to effect the purposes of the foregoing resolution.

Section 4. This resolution shall take effect immediately.

387/2018-19 RESOLVED: that the Board of Education authorize the Superintendent of Schools, Dr. Vicma Ramos, to sign the Shared Services Agreement between the Schalmont Central School District and the Greater  Amsterdam School District.  Schalmont Central School District agrees to transport Greater Amsterdam School District special Education students attending Schalmont Central School District.  The term of the agreement shall be from February 25, 2019 through June 26, 2019 at the rate of $86 per day, pending attorney approval.

403/2018-19 Motion By: Kent McHeard RESOLVED: that upon the recommendation of the Superintendent of Schools, Dr. Vicma Ramos, the Board of Education appoints Michael Gennett to a temporary appointment as Interim Secondary Assistant Principal commencing February 21, 2019 and ending June 30, 2019. Mr. Gennett holds Internship Certification in School Building Leader (SBL). It is further recommended that Mr. Gennett’s salary will be $76,053 for 10 months, prorated. This position is funded through the General Fund. (Mr. Gennett will be filling the vacancy created by Neil Estrada at LLA.)

BE IT ALSO RESOLVED, that Mr. Gennett is hereby granted a leave of absence from his current position in the Physical Education tenure area, for the period through June 30, 2019 to coincide with his temporary appointment as Secondary Assistant Principal. Ms. Demarest holds licensure as a Registered Occupational Therapist. It is further recommended that Ms. Demarest’s salary will be based on MA Step 3 of the 2018-2019 OT/PT/MA Salary Schedule, prorated. This position is funded through the General Fund. (This is a new position.)
